Thai Companies Need To Update Their Shareholdership

On September 23rd, 2016, the Department of Business Development (DBD) under the Ministry of Commerce of Thailand has issued a notification concerning the registration of limited partnerships and companies (issue 13 – B.E. 2559) in order to improve the registration system and compliance with the new e-system implemented by the DBD .

Accordingly, the current DBD form for limited partnerships and companies has been cancelled and replaced by a new format with QR code to support the e-system for automatic filing in electronic form. With such change, the director’s form (so called « Form Kor ») and the shareholders list form (« Form BOJ_5 ») require from now on to provide the ID number and/or registration number of each director and shareholder upon registration. During this annual return season, all companies are therefore required to update their shareholders list and provide the ID and/or registration number of their shareholders.

Although the new shareholder list template for e-submission system is not available yet, every companies should be anyway ready to update and provide relevant information upon their shareholders.
